The certified copies of assignment of Patents one of contract belonging to the Edison Telephone Company of Europe Limited have all been mailed to you. The originals with the general assignment of this Company will be mailed to Messrs J. S. Morgan & Co on receipt of cable from [---] stating whether this paper accompanied by the following resolution will be beneficial for the definite constitution of the European Telephone Company which it is proposed to form.##Resolved "That the President of this company be and be and he is hereby authorized and directed to execute under the corporate seal of The Company and with the authorization of the Secretary an assignment of all Patents [illegible text] and contracts belonging to this company to the European Telephone Company Limited now being formed in London and that said assignment together with the Original of all assignments and all contracts as above duly certified be [---]mitted to messrs. J. S. Morgan & Co of London for delivery to George E. Gouraud, Theodore Puskas, and J. F. Bailey for delivery to the said European Telephone Company Limited on the condition of the due constitution of the said Company being presented to messrs J. S. Morgan & Co and on the payment to the said J. S. Morgan & Co to the credit of this Company the amount in cash and stock which shall be stipulated to be paid by the said European Telephone Company Limited to this Company and which amounts [---] have been previously notified to the President of this Company by letter or by cable and which shall have been accepted by the board of Directors of this company whose acceptance shall have been [signified] by letter or by cable by the said President to messrs Gouraud, Puskas, and Bailey and to Messrs J. S. Morgan & Co"##At the same time that you cable us [--] the [-----] of this resolution please cable definite [assignments] to the final conditions on which the European Telephone Company is formed so far as the interest of the [---ors] of the Patents are concerned.
