PRECIS of an understanding at between Mr. Edison and Major Floor-Page in the presence of Mr. Lewis and on the 23rd day of October 1902.
Mr. Edison agrees to join the American Marconi Company (Marconi Wireless Teleg. Co. of America) in the capacity of technical adviser and to serve as a member of its "Technical Board", a body to be created by the by-laws of the Company and to include among its members Mr. Marconi and such other engineers may be selected. The period of such service to be five years, if he shall live for that period; the consideration for such service shall, irrespective of the period of actual service, be the sum of $60,000.- one-half of which, viz: $30,000., shall be paid forthwith in the Company's capital stock, and one-half in cash. The cash shall be paid in five annual instalments of $6,000. each, the first of such payments to be made in two years from the 1st. day of November, 1902, and each of such annual obligations to be evidenced by the Company's notes or otherwise in some appropriate form.
