ASSIGNMENT, made this       day of October, one thousand nine hundred and two, by THOMAS A. EDISON, of the City of Orange, State of New Jersey, United States of America, party of the first part herein, to THE MARCONI WIRELESS TELEGRAPH COMPANY OF AMERICA, a corporation, organized under the laws of the State of New Jersey, party of the second part herein:
WHEREAS, therefore, on the twenty-ninth day of December, one thousand eight hundred and ninety-one, the said Thomas A. Edison, party of the first part, did obtain Letters Patent of the United States of America, numbered 465,971, for certain improvements in means of transmitting signals electronically; and
WHEREAS, the said party of the second part is desirous of obtaining all right, title and interest in and to the aforesaid Letters Patent:
NOW, THEREFORE, THIS INDENTURE WITNESSETH:
That said Thomas A. Edison, party of the first part herein, for and in consideration of One dollar ($1.00) to him in hand paid by the said Marconi Wireless Telegraph Company of America, party of the second part, and for other good and valuable considerations, the receipt whereof, before the sealing and delivery of these presents, is hereby duly acknowledged, has assigned, transferred and set over, and does hereby assign, transfer and set over, unto the said Marconi Wireless Telegraph Company of America, party of the second part, its successors and assigns, forever, all the right, title and interest of the said party of the first part in and to the aforesaid Letters Patent of the United States of America, numbered 465,971, and in and to the said invention as secured by aforesaid Letters Patent, that is to say, the full and exclusive right to make, use and sell the said invention throughout the United States of America, together with all existing claims for past infringement of aforesaid Letters Patent:
TO HAVE, TO HOLD AND TO ENJOY the same unto the said party of the second part, its successors and assigns, forever, to and for the use of the said party of the second part, to the full end of the term for which said Letters Patent of the United States of America, numbered 465,971, were granted; hereby constituting and appointing said party of the second part his true and lawful attorney, irrevocable, in the name, place and stead of the party of the first part, for the purpose aforesaid, to ask, demand, sue for, attach, levy, recover and receive all such sum or sums of money, which now are or hereafter may become due, owing and payable for or on account of all or any of the rights, dues, debts and demands above assigned, giving unto his said attorney full power and authority to do and perform all and every act and thing whatsoever requisite and necessary, as fully and to all intents and purposes as the said party of the first part might or could do, if personally present, with full power of substitution and revocation, hereby ratifying and confirming all that the said attorney or his substitute shall lawfully do or cause to be done by virtue hereof.
IN TESTIMONY WHEREOF, the said THOMAS A. EDISON, party of the first part, has hereunto subscribed his hand and affixed his seal the day and year first above written.
