Memorandum of proposed organization in Canada; capitalization and terms; relations between Edison Elect Light Co. etc. Proposed company to be organized under Dominion Charter [I.e., Canadian Edison Light Co.] to establish and equip all necessary works to manufacture all patented articles including dynamos, lamps, fixtures, &c; supply and erect isolated plants; sublicense local Illuminating companies. Same royalty terms as in Chicago contract; ie., $2 per HP of current, of which $1 rebated to Canadian Co. Capitalization of co. Added notes (in section "Project for a Candian Edison Light Company): "As it is probable that Mr. Swinyard's associates will desire him t hold an important relation to the management of the Canadian Company it is assumted that the Company will pay his salary. # District of Montreal excluded for lighting purposes only, for easons that have been discussed orally Co. to receive exclusive licences for manufacturing, Isolated (except Montreal); central station business. Others mentioned (in conjunction with Montreal?) include J.J. C Abbott, Mr. Hamilton, Mr. Ryan, Mr. Hearle of Montreal and such others s have been associated with Mr. Hearle in his applications to the American company
