TAE does not think it advisable to send his proxy, hopes to remain neutral; pender and gouraud claim movement "inspired by personal feeling." Gouraud practically controls the co and we must have more directors; sends report of shareholders; Vogel sold out, committee formed of pender, ackers, grewing; Gouraud can not make contract with Ed Light Co along, not good for TAE to side with Gouraud
