- I confirm my letter of Sep. 1. On the 16th inst, I received through Drexel Morgan your cable, reading: [quotes cable:] TAE individually and as President of Edison Electric Light Co. of Europe says ratify Germany contract, also Bailey fusion agreement on basis 14,000 instead of 8,000 founders, providing our percentage shares same in either case. Lamp royalty unchanged. You must secure payment 25,000 marks to us from payment Germany contract. ##[back to present letter:] I at once advised the Co. Continentale of the above instructions, and in reply Rau, a Directory, informed me tha the would do the needful in order to bring about the fusion of the three Paris Edison Cos. under the so-called Bailey agreement with the changes indicated in the above cable. ##In regard to the German treaty, I would however remark that the p/a you have given me is a special one for the fusion only and cannot serve for any other purpose. Therefore, I am unable to ratify the said treaty and cabled you as such through Drexel Morgan & Co. [quotes the cable sent]. ##Enclosed I hand you a copy of a letter received from the Co. Continentale making reference to the German contract. You will notice that a point is brought out as to the advisability of the present ratification being signed by yourself on the ground that the original contract with the German Co. also bore your signature. ##This same letter contains the guarantee of the Co. Continentale as to the payment of Rm. 25,000 as soon as the shareholders meeting of the German society has ratified their part of the contract.
