New name mention: Edison Phonograph Company. I learn from reliable sources that Tomlinson, my personal attorney, and Gilliland, agent of the Edison Phonograph Company, who cooperated in negotiating with you for the purchase from me of the Edison Phonograph Company, had a separate and private agreement by which they received a large amount of the consideration paid therefor, for their personal account. These men were acting as my representatives and the whole consideration agreed to be paid by you, belonged rightfully to me to distribute and I was decived as to the character of the negotiation and the consideration agreed on. # This therefore is to notify you that I will hold you responsible for the payment of any sum to them or either of them if in the form of cash and if they have received stock you must neither repurchase it from them nor transfer the same on the books of the Company to any one other than me, except with my consent. # An acknowledgement of this by you, with the assurance that you will protect me in the matter, will avoid the necessity of litigation.
