- Re B. & O. R.R. Liccense under Phonoplex Patents. Replying to your esteemed favor of yesterday, with enclosures, I beg to say that I have altered the form of agreement which you sent me as follows, and return it herewith:####(1). Change of name, etc., at top of page 1.####(2). I suggest that the entire third section be omitted, and that the following be inserted in its place:####"THIRD: The party of the first part hereby convenants and agrees to pay the party of the second part, the following royalty for each and every (complete?) set of phonoplex instruments covered by said inventions of the party of the second part, or any of them, used on their lines, to wit, a royalty of twenty dollars ($20). per annum.####"The aforesaid royalty shall begin as regards each of the said sets, when the same is established ready for use, due written notice whereof shall be promptly given by the party of the first part to the party of the second part. But should the party of the first part at any time cease to use any of the said sets and remove the same, they shall give written notice whereof shall be promptly given by the party of the first part to the party of the second part. But should the party of the first part to the party of the second part. Are my provisions about notice being given, too onerous?####(3.) I have changed a few words in the fifth line of the fourth section.####(4.) If the foregoing changes meet your approval, or if you have any further changes to suggest, I will make clean copies of the said agreement for execution, if you will return me the enclosed blank agreements.####(5.) I return enclosures as follows: Blank agreement, letter from you to Mr. Selden, dated March 28, 1889, and Mr. Selden's reply dated April 15, 1889.####Awaiting your further instructions, I remain,####Very truly yours,####S.B.
