Letterhead of the Laboratory of Thomas A. Edison Orange, N.J. Oct. 30, 1892. Mr. Edison,- I attach hereto a memorandum which Mr. Theo. Seligman has given me concerning the present negotiations in London. He calls this an “Approximate Idea of Control for Gt. Britain.” He says the actual terms of settlement may differ slightly from these, but there will be no very radical change. I also attach a copy of the memorandum which you signed, agreeing to transfer the manufacturing rights of Gt. Britain for ¼ of the stock and cash received by the Edison United Phonograph Co. This memorandum you will recollect was made in the presence of Mr. Dolan, Mr. Henry Seligmann and myself. Mr. Jesse Seligmann tells me that at a subsequent interview between him and yourself, you stated that you would transfer these rights for ¼ of the cash received by the Edison U. P. Co., taking no portion whatever of the stock. I told Mr. Seligmann that I was not aware any such arrangement had been made, and he said that it was an understanding arrived at between you and himself. Let me know if you made this arrangement. I am inclined to think you did not. A. O.
