E.C. 24th Nov 1892 Dear Sir, Phonographs In accordance with your request we hand you copy of the letter to Mr Crisp of the 22nd Inst: Yours faithfully Bircham + Co [illegible text] F. S. Moriarty Esq. Hotel Bristol Burlington Gardens 50 Old Broad Street London E. C. 22nd. Nov. 1892 Dear Mr Crisp Phonographs Referring to our conversation this morning on the proposed Orange at the commencement of Article 13. of the Agreement I have seen Mr Moriarty thereon and obtained his instructions. These instructions are most precise and leave me no option but to say quite dearly that I cannot consent to any such modifications as you propose nor indeed to any others.— Our Client is quite aware that in leaving the Article as it stands he places himself entirely in the hands of the Corporation. Thus however he is quite willing to do although he recognizes that there is no liability upon them to sell or leave a single one of the 1500 Phonographs still having regard to the men with whom he is dealing and to the course of the business he is content to leave himself in that position.— On the other hand he states that the bargain was such as is expressed in the article in the way it stood before you made your alteration at the commencement of it. That being the case he cannot in any way recede from or after the bargain.— With respect to the suggestions which you mentioned this morning of he himself ordering or obtaining orders for Phonographs I need securely say that I take it for granted you do not mean seriously to represent that you think that under such circumstances the Vendor could take advantage of his own money.— With respect to the Automatic Machines or some of them referred to in Article 12. forming any part of the 1500 Phonographs referred to in Article 13. My instructions are that you are mis informed as to this and that the 1500. Phonographs referred to an Article 13. means the first 1500 sold or leased and whether Automatic or otherwise. – In short I have no discretion left and cannot discuss the commencement of Article 13. I should like to know before we meet to morrow whether you accept this position as otherwise I am afraid there is not much use in our meeting.
