Letterhead of Law Offices of Dyer & Seely New York, December 20, 1892. Thomas A. Edison, Esq., 44 Broad St., City. Dear Sir:- We have your letter of the 20th Inst. enclosing assignment executed by you to the Edison United Phonograph Co. of British patent No. 15, 206 of 1891. This assignment conveys to the assignee all the right, title and interest in the English patent which was a patent for phonographs, except so far as invention may be used “in connection with dolls, toys, toy figures and clocks”. As we understand it, the Edison United Phonograph Co. is entitled to such an assignment, and the assignment is in the usual form being made by Col. Gouraud, in whose name the patent stands, as your agent; and by yourself as the holder of the beneficial interest in the patent. The paper seems to be drawn up correctly, and if our understanding of the contract relations between you and the assignee is correct, it is a proper instrument for you to execute.
