- Title
- [HM89ACD], Agreement, Thomas Alva Edison, Dick (A.B.) Co, December 31st, 1889
- Editor's Notes
- The A.B Dick Company has already acquired the exclusive license to manufacture, sell, and grant others the right to sell Edison's invention of an apparatus for preparing autographic stencils for printing. They wish additionally to obtain a license to manufacture and sell the same apparatus, and any improvements, abroad, and to grant others the same rights. Therefore, 1. Edison grants the A.B Dick Company this right in exchange for one dollar; 2. The A.B Dick Company agrees to pay a royalty of five cents for every specimen made and exported, payable quarterly; 3. The A.B Dick Company further agrees to pay 5 cents of the selling price of all parts of each apparatus sold overseas; 4. Every quarter year on the 15th of Jan., April, July and Oct. the A.B Dick Company makes a statement of its full activity regarding the said patent to Edison, keeping strict account of royalties owed. They are also to notify Edison within ten days of each license that they grant to others; 5. The A.B Dick Company agrees not to organize any corporation for manufacture or sale relating to the patent in any other country but the US, without first obtaining Edison's written consent; 6. If the A.B Dick Co. violates any provision of the contract, the entire thing is void immediately; [Thereafter follows, as part of the same folder, a seemingly unrelated document, seemingly dated 1897. In it, the executor of the Robert Gilliland estate argues that the amount that the amount that Edison paid to the estate for the final mimograph royalty is too low, and that by accepting the check, he is not accepting Edison's construal of what is owed.]
