- Summary: This is an agreement made on the 17th day of June 1888 between Gilliland and Lippincott for the sale of Gilliland's contract of the 28th day of October 1887 with the Edison Phonograph Company. It is agreed that Gilliland will assign his contract to Lippincott within twenty days of the above date, and Lippincott agrees in exchange to deliver 250,000 shares of stock of the par value of one hundred dollars each, of a new company to be called the American Phonograph Company, to possess all the Phonogarph patents or interest therein of Thomas Edison and any inventions made by Gilliland within 15 years from the date hereof shall be assigned to the Company. Sealed by Gilliland and Lippincott, witnessed by Tomlinson.
