Agreement made this 30th day of August 1889 by and between the International Graphophone Company herein after called the Company, a corporation organized under the laws of the State of New York, of the first part and Theodor Seligman and S.F Moriarty of the City of New York, of the second part.##Whereas said Company is desirous of introducing exploiting and disposing of its rights in and to certain inventions in the various Countries of Europe and said seligman and Moriarty are willing to undertake the introduction, exploitation and disposal thereof.##Now, in consideration of the promises and of one dollar by each party to the other in hand paid, and other good and valuable considerations, the receipt whereof is hereby acknowledged, it is agreed by and between the parties, as follows:--##FIRST:--Said Seligmand and Moriarty agree to sail for Europe within thirty days from the date hereof and to use their best efforts and endeavors in the introduction, exploitation and disposal of said inventions in all the countries of Europe.##SECOND:--Said Seligmand and Moriarty further agree to assist and represent the Company in all matters pertaining to the business of the Company in any country of Europe when such assistance or representation may be necessary or required.##THIRD:--Said Company shall pay said Seligmand and Moriarty all their traveling and living expenses and such other expenses as may be necessary and proper in order to successfully introduce, exploit or dispose of said inventions.##FOURTH:--It is further agreed that in the event of the sale of the said inventions or any part thereof in any of the coutnries of Europe, said seligman and Moriarty shall be entitled to a comission of five per cent of the cash received by the Company thereon, but shall not be entitled to receive any Commission on any stock or other security which may be paid to said Company whether as the whole or partial purchase price for any of its rights.##FIFTH:-- Said Company shall execute to said Seligman a full and sufficient power of Attorney in order to enable him to carry out the provisions of this agreement.##In witness whereof, said International Graphophone Company has caused these presents to be signed by its President, and its Corporate Seal to be hereto affixxed and said Seligman and Moriarty have hereunto set their hands and selas the day and date first above written,##Signed International graphophone Company by George [Hyatt?] President L.S Attest George N Morison, secretary Signed Theodor Seligman Stephen F.
