This minute book covers the period January 1896-December 1910. Included are the minutes of directors' and stockholders' meetings, a copy of the certificate of organization (signed January 25, 1896), and the by-laws of the company as adopted at the first board of directors' meeting on January 28, 1896. The minutes cover the election and resignation of directors and officers, as well as agreements, contracts, and other relations with Edison, the Edison Phonograph Works, the Edison Phonograph Co., and the American Graphophone Co. Included also are entries relating to the company's purchase in 1905 of property in Orange, New Jersey from the Edison Manufacturing Co.; litigation against the company and other Edison interests by regional phonograph companies; and threatened litigation involving the Pooley Furniture Co. (makers of Amberola cabinets) and the Victor Talking Machine Co. Also mentioned is the transfer of the company's interest in patents to the New Jersey Patent Co. and Deutsche Edison Gesellschaft.
