Gouraud agrees to purchase all phonographs and supplies for foreign use from TAE on following terms: Half of the output of Phono Works to be at Gouraud's disposal; TAE grants exclusive mfging rights to Phono Works; Phono Works to supply Phono Co. with all phonos required, at 20% over actual cost of manufacture; TAE to have 52% of any future increase in capital; TAE to assign 38% of his stock to a trustee to be mutually agreed upon.
