Docketed as draft circular to shareholders. Entered into negotiations with Bell because of 1) gov't proceedings against Co; 2) competition; 3) "expense and friction" of having 2 exchanges close to each other. Both sides have agreed on terms, excepting minor details. 115,000 stock to Edison co., 200,000 to Bell co.; these terms favorable. Will also modify arrangement with TAE. Other terms.
