Editor's Notes

Insull at Lowrey's office a few days previous and had seen letter to TAE about arc light contract and suggested Lowrey should be meet with TAE before giving more time to it but unable to because of L's illness. Will talk to TAE about it at Board meeting tomorrow. Heard TAE collecting proxies "with a view to electing new directors in the place of some of the old ones including me. That is all right. If any stock holder thinks I do try properly to serve his inerest as a stock-holder it is quite correct for him to vote accordingly. As to Major Eaton, however other considerations are involved. You know he has a contract and any change looking to a termination of his connection with the Company should be treated civilly and as a matter of agreement. Besides the new agreements, were authorized only because they were par tof a re-organization scheme in which Major Eaton remaining President was to with draw from active business and put his energies entirely into prosecuting suits etc. I do not believe you have reflectd that if you or persons under you manage the Light Company as you do dthe shops, then both sides of that important business will be in one control with the natural riskst that it will be carrie don as to pay the largest profit to the party in control. The law not only frowns upon but forbids it. Such a state of things is manifestly wrong. You are certainly too clear sighted to think that after all the wrangling the other members of the board would have passed those contracts if they had known or suspected that their complicated provisions were to be interpreted by a new board controlled by the interests on the other side of the contract."
