[ALS] Notes for preparation of contract with Simmons; TAE re: patent applications of Bergmann, Edison & Johnson will act as agent; TAE will allow Simmons' agent use of laboratory at no charge to perfect telephone transmitter by make and break with metallic points; purpose is to compete commercially with Bell Co.; Simmons will provide $5,000 cash, which his agent will expend for work under TAE's direction; TAE only agrees to personally work on apparatus for litigation to prove undulation theory incorrect and make and break theory correct; that once Simmons is satisfied with the transmitter and TAE's apparatus he will pay in cash $100,000 and provide 1/4 of capital stock; in return, TAE will have transferred to Simmons title to all inventions; Simmons to pay all expenses for patents whether or not they are allowed; TAE does not agree to attend court to explain apparatus but will send an expert at Simmons' expense; TAE does not agree to assign his 1/2 interest in joint patent but will assign any interest he may have in it in view of contract with Western Union; TAE can't bind Bergmann or Johnson to any future invention or improvement; in case of failure $5,000 will be lien on patent to be repaid at sale of patents.
