Marked as attachment to D8642O1. Memorandum of Contracts between EEL Co. and Bergmann & Co, the Edison Machine Works, and the Edison United Manufacturing Co. States that contract between EEL Co. and Bergmann gives Bergmann exclusive license under patents owned by Light Co. to manufacture and sell to the Light Co. (or its licensees) various articles and apparatus manufactured by Bergmann & Co. and used in the Edison business. Bergmann can charge cost of manufacturing plus 20%. "The above are the important provisions of the contract; there are a number of subordinate provisions relating to the keeping of accounts, the ascertaining of the cost, etc., which it is not deemed necessary to specifically mention." ##Contract between EEL Co. and Machine Works is substantially the same as that between Light Co. and Bergmann. ##[Second page cut off in this image, but in version of image attached to D8624O1, that page is present. States as follows:] Contract between EEL Co. and Edison Co. for Isolated Lighting and Edison United Manuf. Co. give to Edison United exclusive right to sell isolated incandescent electric light plants, and to erect and construct central station incandescent light plants in cities, towns, and villages of not over 10,000 inhabitants, according to the last U.S. census. ##Edison United Manuf. is required by contracts to pay to Light Co. 1/2 of profits, both on isolated and central station business, but each year's business is to stand by itself with regard to the adjustment of the result of the business for such year.
