Title
[D8627ZAN], Agreement, Charles T Porter, Edison Machine Works, November 1886
Editor's Notes
[Enclosure to D8627ZAM] Handwritten draft of agreement between Porter and the Machine Works, showing many of the alterations that Porter discusses in D8627ZAM. Agreement spells out relationship between Porter and the Machine Works in the design and manufacture of the "Porter Engine." Machine Works gets exclusive right and license to manufacture, own, use, and sell the inventions covered by Porter's patent. Porter is employed by Machine Works at annual salary of $2500 in return for making plans for a model of the steam engine, after which Machine Works will decide whether to undertake its manufacture. Porter will remain employed for as long as he is needed, not to exceed three years. Porter can also draw an extra $1500 in the first year, to be set against his future royalties (5% of price received on future engines, unless a syndicate is formed between the Machine Works and the buyer--see D8627ZAM for Porter's reaction). [Note that the agreement is long and in parts difficult to read, but these are the highlights. It is generally consistent with the discussion of the agreement in Docs D8627ZAM, D8627ZAG, and .]
