October 10, 1892. Mr. Randolph,- Referring to the 6100 shares of stock of the North American Phonograph Company which Mr. Edison acquired under certain transactions with Mr. Jesse H. Lippincott, I hand you herewith copies of the following agreements in which these transactions are fully set forth:- 5 Agreements between Jesse H. Lippincott, the North Am. Phonograph Co., and Thos. A. Edison, dated respectively Oct. 30, 1888; July 22, 1889; Oct. 31, 1889; Dec. 31, 1889 and April 1st, 1890. 2 Agreements between Jesse H. Lippincott and Thomas A. Edison dated respectively July 30th, 1889 and April 1st, 1890. In making an entry on your Journal, all that is necessary is to recite these agreements, stating the parties to them and the date of each. You can tie these together and file them as a voucher. It is not practicable to make the explanation on your journal, as the arrangement is complicated and the only way it can be thoroughly understood is by reading the agreements. Private Secretary.
