[in reference to Edison consent to the transfer of stock certificate 27 of Lamp Co, apparently to be used as collateral in loan by Upton and Insull] "Referring to your consent (as the majority Stock Holder of the Edison lamp Co) to the transfer of certificate of stock # 27 of said company in order to enable us to obtain a loan on said stock we hereby agree to waive the said sonsent to transfer as soon as we are able to liquidate the loan. ###In the event of the loan being called and we feeling ourselves unable to meet same on to transfer the loan to other parties we hereby agree to offer the stock to you at the same price we paid for it, namely $4500 per share.###We also underundertake to protect as far as is in our power any rights you may have with relation to said stock as long as we are using same as collateral for the loan.
