Summary: This is an agreement between the North American Phonograph Company and the Pumpelly Storage Battery and Electric Motor Company, dated the 20th of May 1889. First The North American Phonograph Company agrees to use the secondary or Storage Electric Batteries manufactured, owned and controlled by the Pumpelly Storage Battery and Electric Motor Company, so far as its other legal obligations permit. Second The North American Phonograph Company agrees that on or before the tenth day of each month it will notify the Pumpelly Company of the number of such batteries to deliver during the succeeding month, Third The Pumpelly Company agrees to deliver all Secondary or Storage Batteries free on board cars at the place of manufacture at the following prices: $7.50 each for Batteries with 150 ampere hours capacity, $8.25 for Batteries with 190 ampere hours capacity, $9.00 for 240 ampere hours. All cells of said Batteries to be of Two volts electric motive force. Payments to be made on or before the 20th day of each month for all batteries received during the previous month. Fourth The Pumpelly Company agrees to keep the batteries sold and delivered in good working order for ten years from the date of delivery and whenver any battery or part shall wear out to replace the battery free of charge, though if any part is broken due to carelessness the owner of the battery will pay for the replacement. A card embodying the warranty will accompany each battery sent to the North American Phonograph Company. Fifth The Pumpelly Company further agrees not to sell any batteries to any persons or corporations using phonographs or phonograph-graphophones except through the North American Phonograph Company Sixth The Pumpelly Company further argrees to defend the North American Phonograph Company at its own expense against all suits for infringement by reason of possessing Secondary or Storage Batteries, and to pay all final judgments in such suits, and to protect, indemnify and save harmless the North American Phonograph Company for any damages they might sustain in proceedings at law or in equity by reason of possession, use or sale of said Batteries.
