Editor's Notes

Summary: This is a contract between Edison and Gouraud, and Thomas B. Connery to introduce phonographs to Mexico.##1. Within three calendar months Connery is to obtain exclusive license from the Government of Mexico to supply that Government with Phonographs for use in Government post Offices throughout Mexico. 2. Within three calendar months after obtaining such license or concession Connery is to form a limited liability company in Mexico, the US or England for the purpose of acquiring and operating phonographic inventions in Mexico, and the license or concession obtained. 3. Connery is to assign or transfer the license or concessions to the Company in consideration of shares or interest or fully paid shares in the capital of the Company to the amount of one third part of such capital. 4. Subject to Connery's performance of the above obligations, the undersigned will grant the Company exclusive right to vend and use the Inventions of Edison respecting the Phonograph in Mexico, together with the right to call upon Edison to patent or procure to be patented in Mexico at the cost of the Company all essential improvements by him in the phonograph and not so as to prejudicially affect any rights with respect to the subject matter of any such patent in any other country for shares of interest or fully paid shares in the capital of the Company to the amount of one other third part of such capital. 5. Edison will manufacture and supply the Company during the said period succh phonographs as the Company may require. The Company to bind itself to take at least 1000 phonographs during the first year at a price to be agreed on but not exceeding fifty dollars per instrument, the price for all phonographs supplied to the Company during continuance of agreement not to exceed the said sum of fifty dollars per instrument save when the cost of production thereof is increased beyond the cost of production during said first year by reason of improvements therein, increased price of materials employed in the manufacture thereof or otherwise. 6. The balance of the nominal capital of the Company (vis. the remaining thrid part thereof) shall be subsccribed for as working capital, each party hereto being entitled to take and subscribe the same in the proportions of the shares of interest or fully paid shares so as aforesaid to be taken by them before said capital is otherwise offered for subscription. 7. If Connery fails to fulfill clause one or two the agreement is ipso facto void, and neith party shall have any claim on the other. We are Dear Sir; Yours obediently G.E Gouraud, Thomas Alva Edison I agree to the above, Thomas B. Connery [Then follows two pages of modifications which Connery has requested to the contract). Whereas Connery requests his time limit to be extended to October 28th 1889, and that the number of machines to be purchased shall be not more than five hundred, and that Edison and Gouraud waive their rights to subscribe to one third of the capital stock of the Company.##Gouraud and Edison have consented to the modifications.##1889 signed [in handwriting] Gouraud, witness ?
