Editor's Notes

Referring to my letter and memorandum of even date, in the event of your settling with the Sunbury Co. on the basis of my taking stock in the Co., I shall then be the holder of $6900 of the capital stock of the Co. Upon the understanding that the Edison Electric Light CO. will surrender the whole of their holding the Sunbury Co., and that the balance of the stock-holders will accept stock in the reorganized Co. on the basis of fifty cents on a dollar, I hereby promise you that I will accept this latter arrangement, that is that I will take $3450 of the stock in the reorganzied company, in the place of the $6900 stock I hold in the present company. In the event of your making settlement with the Shamokin, Mt. Carmel and Bellefonte Companies, I will pay you a commission of five per-cent on the amount of cash I receive from these three companies. It is of course understood that should the payments be made in notes, your commission will not be payable until I have discounted the notes, or failing in this until they fall due. ## You understand that my claim against the Hazleton CO. is so very small that I have left it out of this arrangement, will settle with them direct.
