"In reference to the By Laws of the Lamp Company, Section 1 of Article 9 provides that the annual meeting of the stockholders shall be held at Harrison, N.J. on the third Monday of January in each and every year. Article 13 provides that the Directors shall meet at Harrison, N.J. on the third Monday in January of each and every year. At the meeting of the stockholders held 24th day of January, 1888, Section 1 of Article 9 of the By Laws was amended to read "On the fourth Tuesday of January of each and every year" instead of third Monday. I think the intention must have been to amend also Article 13, in relation to the annual meeting of the Directors, so that the Directors would meet on the same day as the stockholders, as heretofore. The amendment, however, was not made. As it stands now, the Directors meeting should be called for Monday, Jan. 21st, and the Stockholders meeting for Tuesday, Jan. 22d, the former being the third Monday of present month and the latter the fourth Tuesday. ### I have not permitted the minutes of the Stockholders' meeting held 24th Jan. 88, to be copied into the minute book. The motion amending Sec. 1 of Article 9 was made by yourself, and it seems to me that your intention to amend Article 13 is so apparent that it ought to be embodied in our record of your resolution, and avoid the inconvenience which will otherwise result."
