Dear Sir:-
Mr. Edison owns 14,000 shares of stock in the Edison Phonograph Toy Manufacturing Company. If he retains 12,5000 above of this stock, which represent one eight of the Capital of the Company, he will be entitled to 1/8 of any future increases of the Capital Stock of the Toy Phonograph Co. He desires to give Mr. Insull and Mr. Batchelor each a ten percent interest in these 12,500 shares---that is, each of these gentlemen are entitled to the dividends in 1,250 shares, respectively. Also in case of the liquidation of the Company they will be entitled to that proportion of the assets. Will you kindly draw up a couple of papers which will cover this arrangement.
