August 4, 1891. Major S.B. Eaton, Edison Building, Broad St., New York City. Dear Sir:- I enclose herewith a letter from Mr. Gilbert Elliott, Attorney at Law. #206 Broadway, New York City, in regard to an account of Messrs. Ladd & Sheldon with the PHONOGRAM, a journal that is published at Room 127 Pulitzer Building, New York City, under the management of Miss V.H. McRae. This journal was started as the official organ of all Phonograph Companies, and Mr. Edison was asked to join as one of the incorporators. The incorporation papers were sent out here but were returned to Miss McRae on the 12th of January last, with a letter from myself, copy of which I enclose herewith. Mr. Edison did agree to subscribe for five shares of stock in THE PHONOGRAM, and on the 4th of March last sent his check to THE PHONOGRAM for $250, the understanding being that the stock was to be issued to him at $50 a share. I hand you herewith Miss McRae’s acknowledgement of this money dated March 6th, and in the same letter she says: “As soon as the certificates are issued, I will forward to Mr. Edison 5 shares at $100 each, which will be the equivalent of his subscription.” We have waited patiently for these shares but have never received them. Miss McRae’s letter of March 6th is the only acknowledgement we have of the payment to the magazine. Mr. Edison never signed anything, and therefore the suggestion of partnership in Mr. Elliott’s letter is absurd. Can we not enter a claim now against THE PHONOGRAM for the $250? I have not replied to Mr. Elliott’s letter, but wish that you would do so. Yours very truly, A.O. Tate Private Secretary.
