Jan. 5th, 1895. Messrs. Eaton & Lewis, #44 Broad street, New York City, Dear sirs:- In consideration of your reducing your bill for services and disbursements against the Edison Phonograph Works from the sum of $6,667.88 to the sum of $4,417.88 and accepting the notes of the Works for the amount– said notes being for $150 each bearing interest at 4% per annum and being made payable one at the beginning of each month during the twenty-nine months ensuing after this date, I will agree with you as follows: That your notes shall be preferred to any indebtedness upon notes or otherwise, of the said Edison Phonograph Works to me, and should said indebtedness to me or any part thereof be paid by, or made the basis of legal proceedings against, the said Works in advance of the payment of your notes for the $4,417.88 referred to, I will personally guarantee the payment of the last mentioned notes.
